These Terms and Conditions (“Terms”) govern the provision of services by Wit Hires Consulting Ltd (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to be bound by these Terms.
1. Scope of Services
Wit Hires Consulting Ltd provides outsourced HR and compliance advisory and administrative support only. Services may include, but are not limited to:
HR systems administration and employee records management
Training compliance monitoring and coordination
Policy implementation support and compliance tracking
Ongoing HR advisory support
Monthly or periodic compliance reporting
The specific scope, duration, and fees for services will be agreed in writing prior to commencement.
2. Advisory Nature of Services
All services provided are non-executive, non-decision-making, and advisory in nature. We do not act as the employer, joint employer, or agent of the client for employment purposes.
Employment Responsibility Notice
Wit Hires Consulting Ltd provides only advisory and administrative support.
All employment decisions — including recruitment, disciplinary action, dismissal, remuneration, and contractual matters — remain the sole responsibility of the client organisation.
3. No Legal Advice
Our services do not constitute legal advice.
While we may provide guidance on HR best practices and compliance considerations, this guidance should not be relied upon as a substitute for professional legal advice.
Clients are responsible for obtaining independent legal advice, particularly in relation to:
Complex or contentious employment matters
Disputes, claims, or tribunal proceedings
Redundancies, dismissals, or contractual changes
4. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information necessary for us to deliver services
Retain full responsibility for all employment decisions and actions
Ensure compliance with all applicable employment, data protection, and regulatory laws
Implement any recommendations at your own discretion and risk
We are not responsible for outcomes resulting from incomplete, inaccurate, or delayed information provided by the client.
5. Compliance and Reporting
Where compliance monitoring or reporting is provided:
Reports are based solely on the information and records supplied by the client
We do not guarantee regulatory compliance or absence of risk
Compliance reports are informational and do not constitute certification or audit assurance
6. Confidentiality
Both parties agree to maintain confidentiality of all non-public, sensitive, or proprietary information disclosed during the course of the engagement.
This obligation does not apply to information that:
Is publicly available through no fault of either party
Is required to be disclosed by law or regulatory authority
7. Data Protection
Wit Hires Consulting Ltd processes personal data in accordance with applicable data protection legislation, including the UK GDPR where applicable.
We act as a data processor unless otherwise agreed in writing
Clients remain the data controller for employee and organisational data
A Data Processing Agreement may be provided upon request
8. Limitation of Liability
To the maximum extent permitted by law:
We shall not be liable for indirect, consequential, or economic losses
Our total liability arising from any engagement shall not exceed the fees paid for the relevant services
We are not liable for decisions made, actions taken, or failures to act by the client based on our advisory support
Nothing in these Terms excludes liability for fraud or other liability that cannot be limited by law.
9. Termination
Either party may terminate services:
In accordance with the notice period agreed in writing, or
Immediately where there is a material breach of these Terms
Upon termination, all outstanding fees become payable, and advisory support will cease.
10. Intellectual Property
All materials, templates, reports, and documentation provided remain the intellectual property of Wit Hires Consulting Ltd unless otherwise agreed.
Clients may use provided materials for internal business purposes only.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
12. Amendments
We reserve the right to update these Terms from time to time. The most current version will always be available on our website.
